Syneron and Candela Join Forces Syneron Medical and Candela Corporation have entered into a definitive agreement to combine their companies in an all-stock transaction. Under the agreement—unanimously approved by the Boards of Directors of both companies—Syneron will pay 0.2911 for each share of Candela for a total consideration of approximately $65 million. The transaction is expected to be complete by the end of 2009. “The combination of Syneron and Candela brings together two well-respected industry leaders in aesthetic medical devices,” said Louis P. Scafuri, CEO of Syneron. “The product portfolio and commercial infrastructure of Syneron and Candela are highly complementary. The combined company will be extremely well positioned to benefit from an improving macroeconomic climate.”
Following the close of the transaction, Scafuri will remain CEO of the combined company and Gerard E. Puorro will join Syneron’s board of directors. The management team for the combined company will be comprised of executives from each organization.
Biopelle Acquires PRESCRIBEDsolutions
Biopelle, a Ferndale Pharma Company, has announced its acquisition of PRESCRIBEDsolutions. Launched in 2004, PRESCRIBEDsolutions is a customizable skincare line offered through dermatologists and plastic surgeons. “The PRESCRIBEDsolutions brand fits with our brands as a standalone, innovative system of skincare, as well as providing individual unique products within the line that Biopelle had been lacking,” said Elliott Milstein, president of Biopelle. “The addition of PRESCRIBEDsolutions completes Biopelle’s goal of becoming a one-stop-shop for the dispensing aesthetic physician.”
Bayer HealthCare Acquires Two SkinMedica Lines
Intendis, part of Bayer HealthCare, has signed an agreement to acquire Desonate—a low potency topical corticosteroid—and NeoBenz Micro—a benzoyl peroxide medication—from SkinMedica. Under the agreement, which is pending regulatory approval, Intendis will acquire all commercial rights, including assigned contracts and intellectual property related to the two lines.
DermaQuest Celebrates 10th Anniversary
DermaQuest, makers of DermaLash, Peptide Mobilizer and Revive Eye Firm, is celebrating its 10th anniversary. “The advances in technology have truly motivated me and continue to keep DermaQuest ahead of the curve,” said founder and cosmetic chemist Sam Dhatt. “Skincare has come so far. I was one of the first chemists to work with glycolic acid back in the early 1990s and to formulate with peptides, now we’ve begun working with stem cells. It is truly unbelievable how far we have come, and I can’t wait to see what tomorrow will bring in this ever-changing industry.” As part of its 10-year celebration, the company has launched its newest line, the DermaMinerals mineral makeup line.
Medicis and Revance in Neurotoxin Agreement
Medicis Pharmaceutical and Revance Therapeutics have entered into a license agreement granting Medicis worldwide aesthetic and dermatological rights to Revance’s novel, investigational, injectable botulinum toxin A product (RT002) currently in preclinical studies. Under the terms of the agreement, Medicis will pay Revance $10 million at signing with additional milestone payments totaling approximately $94 million upon successful completion of certain clinical, regulatory and commercial milestones, plus a royalty-based payment on sales and supply price. Revance will retain certain therapeutic rights to the product. “We are very pleased to have reached this agreement with Medicis,” said Dan Browne, president and CEO of Revance. “Revance is committed to developing technology that has the potential to expand the aesthetic category through what we believe is a compelling pipeline of investigational botulinum toxin products that have favorable performance, safety and efficacy profiles.”

Clarisonic on Inc. magazine’s Top 500
Thanks to a staggering 2,197% growth in sales from 2005 to 2008, Clarisonic (Pacific Biosciences Laboratories) debuted at No. 60 on this year’s Inc. 500 list.
